West Palm Beach, FL – April 23, 2026

BGSA Holdings, LLC (“BGSA”), is pleased to announce that its client Idelic has been acquired by Descartes Systems Group Inc. (Nasdaq: DSGX) (TSX: DSG).

Idelic’s platform integrates driver safety workflows, including training, monitoring, reporting, and coaching, into a unified system powered by advanced analytics and machine learning. The platform leverages a proprietary dataset built from more than 40 billion miles of telemetry and over 400,000 accident records, enabling fleets to proactively identify and reduce risk. Descartes, a global leader in uniting logistics-intensive businesses through its Global Logistics Network (GLN), acquired Idelic to enhance its AI-driven fleet safety and performance management capabilities.

“Productivity and safety are equally critical for fleet operators,” said James Wee, General Manager of Fleet Management at Descartes. “This acquisition adds critical data to our Global Logistics Network (GLN) and enhances Descartes’ final-mile footprint by adding highly advanced fleet safety capabilities and deep domain expertise. Idelic’s AI-powered predictive safety intelligence functionality, when combined with Descartes’ industry leading routing planning and execution technology, enables us to deliver a complete and cutting-edge fleet performance management solution that uniquely incorporates driver behavior and safety signals into our robust operational data set.”

“Idelic has developed a differentiated platform that centralizes driver safety workflows, leveraging large-scale data and AI-driven analytics to identify and mitigate risk,” said Todd Wilson, President of BGSA Holdings, LLC. “As Idelic is integrated into Descartes’ GLN, its real-time intelligence will enhance fleet performance and enable safety-optimized operations.”

The acquisition strengthens Descartes’ ability to deliver a comprehensive fleet performance solution by incorporating predictive safety intelligence alongside its existing routing, planning, and execution technologies. By combining Idelic’s real-time, event-level data and AI-driven insights with the GLN, Descartes aims to support safer, more efficient, and data-driven fleet operations, while also enhancing its final-mile footprint.
